By purchasing products we sell on our Site (“Products”), or by accessing or using this website, www.choosethread.com, or any other websites owned or operated by Thread Wellness LLC (“Thread,” “us,” “we,” or “our”), its affiliates or agents, that post a link to or include this Agreement (collectively, the “Site”), including by using the services and resources available through the Site (each a “Service” and collectively, the “Services”), completing the registration process, or merely browsing the Site, you represent that (1) you have read, understand, and agree to be bound by the Agreement, (2) you are at least 18 years old or the age of majority in your jurisdiction, and (3) you have the authority to enter into the Agreement. If you do not meet the age requirement, you may not purchase through the Services. If you do not agree to be bound by the Agreement, you may not access or use this Site or the Services or provide data to us.

Supplemental Terms

Your use of, and participation in, certain Services may be subject to additional terms (“Supplemental Terms”), such as the Thread Subscription and Sales Terms, accessible by clicking this link: Subscription and Sales Terms.

Such Supplemental Terms will either be listed in this Agreement or will be presented to you for your acceptance when you sign up to use the supplemental Service. The Supplemental Terms shall be governed by this Agreement. If this Agreement is inconsistent with the Supplemental Terms, the Supplemental Terms shall control with respect to such Service.

Changes to Terms of Service

It is your responsibility to review this Agreement periodically. We may revise this Agreement at any time. If you do not agree to this Agreement, please do not use this Site or the Services or provide data to us.

Please note that this Agreement is subject to change by us in our sole discretion at any time (“Updated Terms”). When changes are made, we will make the Updated Terms available at the Site. We will also update the “Last Updated” date at the top of the Agreement. If we make any material changes, and you have registered to use the Services, we will also send an e-mail to you at the last e-mail address you provided to us pursuant to the Agreement. Any changes to the Agreement will be effective immediately for new users of the Site or Services and will be effective thirty (30) days after posting notice of such changes on the Site for existing users or such a timeframe as may be specified in the Updated Terms. We may require you to provide consent to the Updated Terms in a specified manner before further use of the Site or the Services is permitted. If you do not agree to any change(s) after receiving a notice of such change(s), you shall stop using the Site and/or the Services. Otherwise, your continued use of the Site and/or Services (or engaging in such other conduct as we may reasonably specify) constitutes your acceptance of the Updated Terms. Privacy Policy

You acknowledge and agree that all information collected by Thread is subject to our Privacy Policy, which describes Thread’s data and privacy practices in connection with your access to and use of the Services or the products or services offered via the Services, including our use of third party cookies, pixels, tags, and other tracking technologies to collect personal information that may be used for analytics, marketing, and targeted advertising purposes. By using the Services, you consent to our Privacy Policy and the use of these technologies.

Ownership of Thread Content

Unless otherwise explicitly specified, all materials that are included in or are otherwise a part of the Services, including, without limitation, the THREAD mark, the technology underlying the Site and Services and the entire contents of the Site and Services including, but not limited to, text, graphics, images, audio clips, digital downloads, data compilation, code, layout, trademarks, logos, service marks, designs, information, data, advertising copy, past, present and future versions of the Site, domain names, source and object code and the “look and feel” of the Site and Services (“Thread Content”) are owned, controlled, or licensed by Thread Wellness LLC and are protected from unauthorized use, copying, and dissemination by copyright, trademark, patent, and other laws, rules, regulations, and treaties.

The Thread Content may not be copied, reproduced, downloaded, or distributed in any way, in whole or in part, except with the express permission of Thread as is expressly provided in this Agreement. Any unauthorized use of Thread Content is prohibited.

Your Limited License to Use Thread Content

You may visit our Services without further permission from Thread and Thread grants you a limited, personal, non-exclusive, non-commercial, revocable and non-transferable license to access and view the Services and Thread Content for your personal use, and to copy, distribute and transmit the content of the Services only to the extent that such copying, distribution and transmission is automatically done through your browser software incidentally to using the Services for your personal use. You shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Site or Services. This license is subject to your full compliance with this Agreement.

When you view or use Thread Content, you must: (a) keep intact all copyright and other proprietary notices; (b) make no modifications to the Thread Content; and (c) not copy or adapt any object code associated with the Services or reverse engineer, modify or attempt to discover any source code associated with the Services, nor allow or assist any third party to do so (whether or not for your benefit).

Except as expressly provided in this Agreement, you may not copy, reproduce, republish, create derivative works of, upload, download, perform, display, post, transmit, distribute or otherwise use Thread Content in any way, without the prior written permission of a duly authorized Thread employee. You agree to abide by any and all copyright notices, information, or restrictions contained in any part of the Services. Any and all rights to use the Services that are not expressly granted to you under this Agreement are reserved for Thread or its licensors. Nothing contained in this Agreement will affect, impair, or limit in any way Thread’s rights to exploit fully any or all of the Thread Content. Unauthorized use of Thread Content may be a violation of federal and state laws and could result in civil and criminal liability.

Access to and use of certain areas of the Services may require you to register for an account or otherwise ask or require you to provide information to use the features of the Services.

Registration and Access Controls

Certain areas of the Services may require account registration or may otherwise ask or require you to provide information to use certain features. When you choose to provide information to the Services, you agree to provide only true, accurate, current and complete information. You agree you will not sell or otherwise transfer your account or any account rights and that you will keep your account credentials confidential. Except to the extent prohibited by applicable, unwaivable law, Thread reserves the right to terminate your account or otherwise deny you access in its sole discretion without notice and without liability. You also agree to comply with all rules, laws and regulations that are applicable to your use of the Services, including, without limitation, those governing your transmission or use of any software or data. If you submit personal information to register for an account with Services or to otherwise participate in any services, that information will be governed by the Privacy Policy. You may cancel your account at any time via your account page or by contacting our customer support team.

Account Security and Payment Information

You are responsible for all access to and use of this Site by anyone using your password and identification, whether or not such access and use is actually authorized by you, including all communications and transmissions and all obligations (including financial obligations) incurred through such access or use.

You are solely responsible for protecting the security and confidentiality of your password and identification. You shall immediately notify us of any unauthorized use of your password or identification or any other breach or threatened breach of this Site’s security.

At the time of your first order, we will request shipping and payment information. You agree that we may update your payment information with information your bank or credit card issuer may supply, or other information available to us.

Orders and Pricing

When you place an order, you are making an offer to buy. Your order is accepted when we ship it, not when you check out. We may cancel or refuse any order, including if we suspect fraud, if an item is out of stock, or if there is an error in the price or product details. If we cancel an order you have already paid for, we will refund you in full.

We work hard to keep our prices and descriptions accurate, but mistakes can happen. If a product is listed at the wrong price, we may correct the price and give you the choice to continue at the right price or cancel for a full refund. We may also limit the quantity of any product per order or per customer.

Prices are in US dollars and do not include shipping or taxes, which are shown at checkout before you pay. If you choose a subscription or a prepaid 3-month plan, the price, billing schedule, and how to cancel are shown at checkout and explained in our Subscription and Cancellation Policy.

Shipping

We ship within the United States only. We do not currently ship to Alaska, Hawaii, or outside the US. Orders usually leave within [2 business days], and delivery times depend on the shipping option you pick at checkout.

If you order more than one product, your order may arrive in more than one package. You will only be charged one shipping fee. Your tracking emails will show where each package is.

Please make sure your shipping address is correct before you check out. We are not able to change an address once an order has shipped. Information and Content You Submit

The Services may provide you the opportunity to communicate with Thread via e-mail or other means, or publicly post product reviews, photos, or other content through the Services (collectively, “User Content”).

Responsibility for User Content

You understand that you are solely responsible for your User Content, however submitted. By submitting User Content, you represent and warrant to Thread that you have all necessary permission to submit it and that it does not infringe upon, misappropriate, or violate the rights of any third party, including, without limitation, any intellectual property rights, rights of publicity or privacy, or any other proprietary rights. You also acknowledge that the internet may be subject to breaches of security and should be aware that submissions of User Content or other information may not be secure, and you should consider this before submitting any information to Thread.

Thread does not control the User Content made available via the Services and therefore does not guarantee the accuracy, integrity, quality or lawfulness of User Content.

Rights You Grant to Us

When you post a review, photo, comment, or other content publicly on the Services, or share it with us on social media for us to use, you grant Thread a non-exclusive, worldwide, perpetual, royalty-free license to use, reproduce, display, and share that content, together with the name or username shown with it, on our website, social channels, and marketing. You keep ownership of your content. To the extent permitted by applicable law, you waive any moral rights in that content, even if it is edited or cropped in a way you did not expect. You further authorize Thread to publish your public content so that it may be accessed by users of the Services or the general public.

Private messages you send to our support team, including emails to support@choosethread.com, are not covered by this license. We use them to respond to you and as described in our Privacy Policy.

Right to Screen and Remove Content

We have no obligation to monitor the Services or any User Content made available via the Services. However, you acknowledge and agree that to the fullest extent allowed by law, and except as expressly prohibited by law, we have the right to monitor the Services and User Content you submit and the right (but not the obligation) to delete, edit, move, or disable any such User Content in whole or in part, before or after it appears on the Services, subject to Thread’s sole discretion. Thread reserves the right to suspend or terminate your access to the Services at any time. Under no circumstances will we be liable in any way for any User Content including, but not limited to, any errors or omissions in User Content, any loss of your User Content or for any loss or damage of any kind incurred as a result of any user’s User Content.

Ideas and Feedback

If you send us ideas, suggestions, or feedback about our products or Services, you agree that we may use them for any purpose without payment or obligation to you. Please do not include sensitive health information in public posts or reviews. Thread may be working on or developing material similar to your ideas, and any discussion between you and Thread about your ideas does not recognize their novelty or originality.

No Obligation to Use

You agree that submission of User Content is at your own risk and that we have no obligations with respect to such User Content, including to keep or use your User Content in any way.

Acceptable Use Policy

As a condition of your use of the Services, you agree that you will not, and will not encourage, permit, or assist any third party to, take any action, or upload any User Content, on or via the Services that:

• Is unlawful, discriminatory, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, pornographic, obscene, offensive, profane, or vulgar;

• Promotes trade or use of drugs and controlled substances, discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;

• Infringes on any copyright, trademark, patent, trade secret, right of publicity, right of privacy, or any other right of another person or entity;

• Constitutes unauthorized or unsolicited advertising, junk mail, bulk mail, chain letters, or surveys;

• Discloses another person’s address, phone number, e-mail address, credit card number, or any information that may be used to track, contact, or impersonate that individual or that is extremely personal in nature;

• Includes video, audio, or images of any person younger than 18;

• Involves commercial activities and/or sales, such as contests, sweepstakes, or barter; communicating or facilitating any commercial advertisement or solicitation; marketing any goods or services; reselling, renting, leasing, or providing for payment the Services to any person;

• Impersonates any person or entity, including any employee or representative of Thread;

• Engages in or attempts to engage in any potentially harmful acts that are directed against the Services, including but not limited to: violating or attempting to violate any security features of the Services; using manual or automated software or other means to scrape, crawl, spider, or similarly access or copy any portion of the Services or to use any portion of the Services to train or otherwise include in large language models, artificial intelligence technologies, or other machine learning tools, products, services, or features (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from our websites for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); introducing or sending viruses, worms, spyware, malware, or any other kind of harmful code into or through the Services; interfering or attempting to interfere with the proper functioning of or use by others of the Services, including by means of overloading, flooding, spamming, mail bombing, or crashing the Services;

• Engages in or attempts to engage in any of the following: disabling, bypassing, modifying, defeating, violating, removing, impairing, circumventing, or otherwise interfering with digital rights-management technology or other features or technology that limits or prevents use of the Services or the Thread Content therein; or

• Automates the process of sending or viewing Thread Content.

Linking

You may link to our Services. Please do not frame our content or otherwise mirror any part of the Services, use Thread trademarks or logos without our prior written permission, present false information about Thread or its products, or imply that Thread endorses or sponsors you or your products or services unless we have given prior written consent. We may ask you to remove a link at any time, and we may suspend or remove your account or submissions if these requirements are not followed.

Reporting Copyright and Other Intellectual Property Violations

If you believe that any content on the Services infringes your copyright or other intellectual property rights, please contact us at support@choosethread.com with details of the alleged infringement.

Product Reviews

The Services allow registered users to post reviews, ratings and comments about Products purchased through the Site (collectively, “Reviews”), and you are solely responsible for any content, opinion, statement, recommendation or advice contained therein. Reviews posted on our Services are not endorsed by Thread and do not represent the views of Thread. You acknowledge that any opinions, statements, recommendations, ratings, advice or other information presented in any Review are those of their respective authors who are solely responsible and liable for their content. That means that you, and not Thread, are solely responsible and liable for any Reviews that you post. By posting a Review, you grant Thread a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to (a) host, use, reproduce, modify, run, adapt, translate, distribute, publish, create derivative works from and publicly display such User Content of yours throughout the world in any media, now known or hereafter devised; (b) make the Review available to the rest of the world and to let others do the same; (c) to provide, promote, and improve the Services and to make your Review shared on the Services available to other companies, organizations or individuals for the syndication, broadcast, distribution, promotion or publication of such User Content of yours on other media and services, subject to our Privacy Policy and this Agreement; and (d) use the name and/or trademark that you submit in connection with such Review of yours. You further grant Thread the right to pursue at law any person or entity that violates your or Thread’s rights in your Review by a breach of this Agreement. You acknowledge and agree that your Review is non-confidential and non-proprietary. You affirm, represent and warrant that you own or have the necessary licenses, rights (including copyright and other proprietary rights), consents and permissions to publish and otherwise use (and for Thread to publish and otherwise use) your Review as authorized herein.

To the fullest extent allowed by applicable law, and except as expressly prohibited by law, Thread reserves the right to refuse to post or remove any material submitted or posted in any Review. Notwithstanding the foregoing, you acknowledge that Thread is under no obligation to edit or modify any information available in any Reviews or decide any dispute or disagreement between the posters and shall have no liability to you for any content posted in a Review. Thread does not assume liability for Reviews or for any claims for economic loss resulting from such ratings and reviews.

Because we expect users to maintain a high level of integrity with respect to ratings and reviews posted through the Services, you agree, for customer Reviews posted through the Services: (i) to base any rating or review you post only on your first-hand experience with the product you are reviewing; (ii) that you will not submit a rating or review in exchange for payment or other benefits from any individual or entity unless you clearly disclose that relationship in your review; and (iii) that your review will comply with this Agreement. Creators and affiliates who receive free products or compensation from Thread follow separate disclosure rules and must clearly disclose their relationship with us.

In accordance with applicable law and except as expressly prohibited, if Thread determines, in our sole discretion, that any rating or review could undermine the integrity of the ratings and reviews, we may exclude such Review without notice. We do not remove or exclude a Review only because it is negative or critical of Thread or our Products.

Further, in accordance with applicable law, Thread may remove any Reviews in the event it determines, in its sole discretion, that a Review:

• Is false, unlawful, misleading, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing (or advocates harassment of another person), threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;

• Is patently offensive to the online community, such as that which promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;

• Would constitute, encourage, promote or provide instructions for conduct of an illegal activity, a criminal offense, give rise to civil liability, violate the rights of any party in any country of the world, or that would otherwise create liability or violate any local, national or international law;

• Provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy or providing or creating computer viruses;

• May infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;

• Constitutes mass mailings or “spamming,” “junk mail,” “chain letters” or “pyramid schemes”;

• Impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity, including Thread;

• Is private information of any third party, including, without limitation, addresses, phone numbers, email addresses, social security numbers and credit card numbers;

• Includes or is intended to facilitate viruses, corrupted data or other harmful, disruptive or destructive files;

• Is unrelated to the topic of the Reviews or products in which such Review is posted; or

• Is otherwise objectionable, or may wrongfully expose Thread or its users to any harm or liability of any type.

For avoidance of doubt, this section does not in any way prohibit consumers from posting honest ratings and reviews about the Services.

SMS Marketing and Program Support

By opting into receiving marketing and support text messages from us on our Website, you agree to receive recurring text notifications for your order, including, but not limited to, abandoned checkout reminders, text marketing offers, and transactional texts, including requests for reviews from us, even if your mobile number is registered on any state or federal do-not-call list. Message frequency varies. This service is optional and is not a condition for purchase.

Opt-out: If you wish to unsubscribe from receiving text marketing messages and notifications, reply with STOP to 00000. We will also honor other reasonable requests to stop, such as QUIT, CANCEL, UNSUBSCRIBE, or END.

We have the right to modify any telephone number or short code we use to operate the service at any time. You will be notified on such occasions. You agree that any messages you send to a telephone number or short code we have changed, including any STOP or HELP requests, may not be received, and we will not be liable for honoring requests made in such messages.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the service, any errors in such information, and/or any action you may or may not take in reliance on any information sent through the service.

The materials on the Services are provided for general informational purposes only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Limitation of Liability

To the fullest extent permitted by law, and except where expressly prohibited or in relation to “Non-Excludable Guarantees” (described below), you understand and agree that in no event shall Thread Wellness LLC and its partners, service providers, consultants, vendors, and the directors, officers, employees, and agents or other representatives of each of them (collectively, “Thread Parties”) be liable to you or anyone else for any indirect, incidental, special, exemplary, economic, punitive, or consequential damages arising out of or in connection with the Site or Services, including, without limitation, any damages resulting from loss of use, data, or profits, whether or not we have been advised of the possibility of such damages, on any theory of liability, resulting from: (1) the Services or Thread Content, (2) User Content, (3) the use or inability to use the Site or Services, or the performance of the Services or the Thread Content, (4) your use of any Products or services purchased from the Services; (5) the cost of procurement of substitute goods or services resulting from any goods, data, information or services purchased or obtained through the Services; (6) unauthorized access to or alteration of your transmissions or data; (7) statements or conduct of any third party on the Services; (8) action taken in connection with an investigation by the Thread Parties or law enforcement authorities regarding your use of the Services; (9) any errors or omissions in the Services’ technical operation; (10) action taken in connection with copyright or other intellectual property owners; (11) any damage that results from events beyond our reasonable control, such as damages to any user’s computer, mobile device, or other equipment or technology including, without limitation, damage from any security breach or from any virus, bugs, tampering, fraud, error, omission, interruption, defect, delay in operation or transmission, computer line or network failure or any other technical or other malfunction, or (12) any other matter related to the Services, whether based on warranty, copyright, contract, tort (including negligence), product liability or any other legal theory.

To the extent permitted, and except where expressly prohibited, under no circumstances will the Thread Parties be liable to you or any third party for more than the amount received by us as a result of your use of the Services in the subscription period during which you first assert a claim. If you have not paid the company any amounts in the subscription period during which you first assert any such claim, the company’s sole and exclusive liability shall be limited to fifty US dollars ($50).

The limitations set forth in this section will not limit or exclude the Thread Parties’ liability for personal injury or property damage caused by the Thread Parties, or for the Thread Parties’ gross negligence, fraud or intentional, willful, malicious or reckless misconduct.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or consequential damages, so some of the exclusions and/or limitations in this section may not apply to you.

Disclaimer of Warranties

We do not promise, covenant, represent, warrant or guarantee that you or any other user of the Services will obtain any particular or tangible result or goal through the use of the Services, or any Product or service made available on or through the Services.

To the fullest extent allowed by applicable law, and except as otherwise specifically provided, the Services, including, without limitation, the Thread Content, and any Products or services offered through the Services are provided on an “as is” and “as available” and “with all faults” basis. To the fullest extent permissible by applicable law, the Thread Parties make no representations or warranties or endorsements of any kind whatsoever, express or implied, as to: (a) the Services and Thread Content; (b) Products or services sold through the Services; (c) User Content; and/or (d) security associated with the transmission to Thread or via the Services. In addition, and to the fullest extent permitted under applicable law, the Thread Parties disclaim all warranties and guarantees, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement, title, custom, trade, quiet enjoyment, system integration and freedom from computer virus. We do not warrant that the quality of any products, services, information or other material purchased or obtained by you will meet your expectations.

The Thread Parties do not represent or warrant that the functions contained on the Services will be uninterrupted or error-free, that the defects will be corrected or that the Services or the server that makes the Services available are free of viruses or other harmful components, including, without limitation, viruses. The Thread Parties do not make any warranties or representations regarding the information on the Services (including any instructions) in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise. You acknowledge that your use of the Services is at your sole risk. Applicable law may not allow limitations or exclusions on warranties so the above limitations may not apply to you.

The Thread Parties do not warrant that your use of the Services is lawful in any particular jurisdiction, and the Thread Parties specifically disclaim such warranties. By accessing or using the Services you represent and warrant that your activities are lawful in every jurisdiction where you access or use the Services. Nothing in these Terms limits, excludes, or modifies, or purports to limit, exclude, or modify any statutory consumer guarantees or any implied condition or warranty the exclusion of which from these Terms would contravene any statute or cause any part of these Terms to be void (“Non-Excludable Guarantees”).

No advice or information, whether oral or written, obtained from us or through the Services, including in connection with the Products, will create any warranty not expressly made herein.

Termination

Thread reserves the right to terminate your access to and use of the Services in its sole discretion, without notice and liability, including, without limitation, for any reason or no reason. If we end your access or cancel an order before it ships, we will refund any amount you prepaid for products that have not shipped. Thread also reserves the right to investigate suspected violations of this Agreement, including, without limitation, any violation arising from any e-mails you send to the Services or Thread. Any violation of this Agreement may be referred to law enforcement authorities. Upon termination of your access to the Services, or upon demand from Thread, all rights granted to you under this Agreement will cease immediately, and you agree that you will immediately discontinue use of the Services.

Thread also reserves the right to modify, withdraw, suspend, or discontinue in whole or in part (temporarily or permanently, at any time, and with or without notice) any Thread Content or discontinue and cease operation of any Services in its entirety.

Location of the Services and Territorial Restrictions

Thread controls and operates the Services from offices located in the United States and makes no representations or warranties that the information, products or services contained on the Services are appropriate for use or access in other locations. The information, products, and services provided on the Services are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Thread to any registration requirement within such jurisdiction or country. Anyone using or accessing the Services from outside the United States does so on their own initiative and is responsible for compliance with United States’ and local laws regarding online conduct and acceptable content, if and to the extent such laws are applicable. We reserve the right to limit the availability of the Services or any portion of the Services, to any person, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any content, program, product, service or other feature that we provide.

Third-Party Links and Sites

The Services, or communications you receive from Thread, may link to other websites or online features operated by third parties. The Services may also include third party content that we do not control, maintain, or endorse. We have no control over third party content or third party sites, each of which have separate privacy and data collection practices independent of Thread Wellness LLC’s. We are not responsible for and do not accept any responsibility for the availability, contents, products, services or use of any third party site, any website accessed from a third party site or any changes or updates to such sites. These third party sites or content are provided only for your convenience and therefore you access them at your own risk. Your correspondence and business dealings with third parties found through the Services including, without limitation, the payment and delivery of products and services, and any terms, conditions, warranties and representations associated with any such dealings, are solely between you and the third party. You acknowledge and agree that Thread is not liable for any loss or damage which may be incurred by you as a result of your interaction with any third party.

Talk to Us First

We want you to love your experience with Thread, and if something goes wrong, we want the chance to make it right. Before starting any formal legal claim, please email us at support@choosethread.com and tell us your name and the email you used to order, your order number if you have one, and what happened and what you would like us to do.

We will respond within [5 business days] and work with you in good faith to find a fair solution. If we have not resolved the issue within 30 days of receiving your email, either of us may then pursue other options available under the law. Either of us may bring an individual claim in small claims court at any time.

This step does not limit any rights you have that cannot be waived under the law. If you have a health concern after using a product, please contact a healthcare provider right away, and let us know at the same address so we can help.

Governing Law and Venue

These Terms, and any dispute between you and Thread, are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any claim that is not resolved through the “Talk to Us First” step or small claims court will be brought in the state or federal courts located in Wyoming, and you and Thread both agree to those courts.

If you are a consumer and the law where you live gives you the right to bring a claim in your home courts or to use your home state’s consumer protection laws, nothing in this section takes that right away.

Miscellaneous

Communications

The communications between you and Thread may take place via electronic means, whether you visit the Services or send Thread e-mails, or whether Thread posts notices on the Services or communicates with you via e-mail. For contractual purposes, you (a) consent to receive communications from Thread in an electronic form, including, without limitation, terms and conditions, agreements, notices, and disclosures; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Thread provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing. The foregoing does not affect your statutory rights.

If you have opted in to receive marketing communications or other elective communications from us, you may choose to opt out at any time following the instructions relevant to such form of communication. Please note that even if you opt out, we will still send you account-related emails, such as purchase receipts, financial information, other order-related information, and, in our discretion or as required by applicable law, information about updates to our policies or this Agreement to the email address you provide.

Other Terms

This Agreement, and your rights and obligations hereunder, may not be assigned, subcontracted, delegated or otherwise transferred by you without our prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Thread may assign all or any part of the Agreement without restriction at any time without any notice to you.

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages or delays of transportation or shipping facilities, fuel, energy, labor or materials.

Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of or limit Thread’s rights with respect to such breach or any subsequent breaches, or any other provision or of such provision. No waiver by Thread will be of any force or effect unless made in writing and signed by a duly authorized officer of Thread.

If any portion of this Agreement is held to be invalid or unenforceable, that portion shall be construed in a manner to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect.

If a court or other adjudicative body should determine that any provision of this Agreement is overbroad, unfair or unreasonable, such provision shall be given effect to the maximum extent possible by narrowing or enforcing in part that aspect of the provision found overbroad or unreasonable.

This Agreement is the entire and exclusive agreement between the parties, and it supersedes all previous communications, representations or agreements, either oral or written, between them with respect to this subject matter. No representations or statements of any kind made by any affiliate of Thread, which are not included in this Agreement, shall be binding on Thread or its affiliates. Neither the course of conduct between the parties nor trade practice will modify this Agreement. The section titles are inserted only as a matter of convenience and have no legal or contractual effect. You agree that this Agreement will not be construed against Thread by virtue of Thread having drafted this Agreement. No amendment to or modification of this Agreement, or action, or delay, will be binding unless in writing and signed by a duly authorized officer of Thread.

Provisions of these Terms that would logically survive termination of this Agreement for any reason, including without limitation “Disclaimer of Warranties” and “Limitation of Liability,” will survive termination.
